Welcome to kliQ². Please read these Terms of Service ("Terms") carefully.

These Terms are a binding agreement between you ("you," "your") and kliQ Labs, Inc., a California corporation, dba kliQ² (hereinafter referred to as "kliQ," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms contain an arbitration clause and class action waiver in Section 19. Please read those provisions carefully.

These Terms become effective with respect to you on the date you accept them or first use the Service.

1. WHAT kliQ² IS

1.1 The Service

kliQ² is a compatibility analysis tool using a structured questionnaire and AI-driven analysis to generate compatibility information about pairs of users who have voluntarily provided their information.

1.2 What kliQ² is NOT

kliQ² is not a matching service. Users independently identify the persons with whom they wish to assess compatibility. kliQ does not introduce, surface, recommend, suggest, or otherwise present users to one another. Users bring their own counterparties to the Service from independent sources.

1.3 Users Decide

You decide. kliQ² provides analytical information. You are free to choose to date, befriend, or live with any individual you choose. kliQ does not direct, recommend, advise, or compel any decision.

1.4 Definition of "kliQ" (the action)

When used in these Terms (and within the Service), "kliQ" (used as a noun or verb) refers to a compatibility analysis conducted between two users through the Service.

2. ELIGIBILITY

2.1 Age Requirement

You must be at least eighteen (18) years of age.

2.2 Legal Capacity

You must have the legal capacity to enter into these Terms.

2.3 Geographic Scope

The Service is available only in the United States.

2.4 No Prohibited Persons

You may not use the Service if barred under applicable law.

2.5 kliQ's Discretion

We may decline or revoke your access at any time, for any reason.

3. YOUR ACCOUNT

3.1 Account Creation

Create an account with accurate information. You are responsible for credential security.

3.2 One Account Per User

No multiple accounts. No impersonation. No transferring credentials.

3.3 Profile Information

Information is voluntary and self-disclosed. You are solely responsible for the truthfulness of your disclosures.

3.4 Profile Photo

Your profile photo is NOT publicly displayed. It is visible only to users with whom you have completed a kliQ. We do not perform facial recognition or biometric analysis.

3.5 Account Security

Maintain confidentiality of your password. Notify us immediately of unauthorized access.

3.6 Phone Number (Optional)

Providing a phone number is optional. You may provide a phone number at signup or in account settings, or skip phone number entirely. See Section 8 for terms governing SMS communications.

4. PRICING, SUBSCRIPTIONS, AND PAYMENT

4.1 Pricing Tiers

4.2 Payment Processing

Processed through Stripe. kliQ Labs, Inc. does not store your payment card or bank account information.

4.3 Subscription Renewal

Recurring subscriptions auto-renew unless canceled before the renewal date.

4.4 Cancellation

Cancel any time through account settings.

One-click cancel: No need to call or email
Cancellation is no harder than signup
Pre-renewal notice: Email reminder before renewal

4.5 Refunds

Generally no refunds for partial billing cycles unless required by law. Specific situations addressed at our discretion.

4.6 Pricing Changes

We may change prices. Affected subscribers receive at least 30 days notice.

4.7 Pause Feature

Pause your account temporarily through settings. Retain match history but receive no new active kliQ notifications.

4.8 Founding Member / Beta Tester Premium Grants

If you have a Beta Tester Premium Grant, those Beta Agreement terms govern in addition to these Terms.

5. THE SERVICE

5.1 How kliQ² Works

Complete the kliQ² questionnaire
Receive a kliQ compatibility code
Exchange codes with someone you've identified independently
Run a kliQ against another user's code
Receive compatibility information
Use it to inform your own decisions

5.2 Compatibility Code

Your code is unique to your account. You may share it with people you choose to potentially kliQ with. You may deactivate and regenerate at any time.

5.3 Compatibility Analysis Output

Generated using:

Your questionnaire answers
Other user's questionnaire answers
AI-driven analysis (Anthropic's Claude AI — see Privacy Policy)

Output may include compatibility scores, archetypes, friction points.

5.4 Match History

We preserve your match history while your account is active. Use bulk archive tools to manage display.

5.5 No Public Profiles

kliQ² does NOT maintain public-facing user profiles. Information becomes visible only:

To you (your own data)
In compatibility analysis output (compatibility insights only)
Through your profile photo (only after completed kliQ between you)

6. INFORMATION YOU AND OTHER USERS PROVIDE

6.1 Self-Disclosure

All information voluntarily provided.

6.2 No Verification by kliQ

kliQ does NOT verify the accuracy of user-provided information.

6.3 Honesty Encouraged, Not Guaranteed

Service mechanisms encourage honest answers, but kliQ cannot guarantee any user has provided truthful information.

6.4 You Assess Risk Yourself

You take responsibility for assessment of whether and how to act on compatibility information.

6.5 Sensitive Information

Sensitive topics in questionnaire are optional. "Prefer not to say" options provided.

6.6 Your License to kliQ

You grant kliQ worldwide, royalty-free, non-exclusive, sublicensable license for:

Operating the Service
Improving the Service
Generating aggregated, anonymized analytics

License terminates on account deletion (except anonymized aggregate data and legally required retention).

7. ACCEPTABLE USE

7.1 Permitted Uses

Assess compatibility with persons you've independently identified. Provide feedback. Manage your account.

7.2 Prohibited Uses

Harass, stalk, threaten, intimidate, or harm any other person
Submit false or misleading information to manipulate compatibility output
Create multiple accounts or impersonate any other person
Identify, locate, or contact other users outside provided channels without their consent
Use the Service for commercial purposes (such as operating as a matchmaker, dating coach, or other professional service to third parties) unless expressly authorized. kliQ Pro is a separate offering for licensed third-party matchmakers with its own terms
Upload, submit, or transmit illegal, infringing, defamatory, obscene, or rights-violating content
Interfere with security or integrity of the Service or infrastructure
Reverse-engineer, decompile, disassemble, scrape, copy, or derive the source code, questionnaire design, scoring logic, or AI prompts
Scrape, harvest, or systematically collect data from the Service
Use the Service in violation of any applicable law or regulation

Violation may result in account termination, legal action, and other remedies.

8. SMS COMMUNICATIONS

8.1 Phone Number Collection is Optional

Providing your phone number is always optional. You may use the Service without providing a phone number. We collect phone numbers only if you choose to provide them.

8.2 SMS Opt-In Required

Providing your phone number does NOT, by itself, authorize kliQ to send you SMS messages. To receive SMS communications, you must separately opt in by checking the SMS consent box during signup, in your account settings, or through other affirmative consent.

8.3 Consent Record

When you opt in to SMS, kliQ records:

Your consent flag
The date and time of your consent
The method of consent (web form, in-app, or other)

This consent record is retained for TCPA compliance.

8.4 Types of SMS We Send (Transactional Only)

Account verification codes
Two-factor authentication (2FA) codes
Account recovery (password reset) messages
Security alerts (new login, suspicious activity)
Transactional kliQ notifications (pending reveals, account activity)

8.5 We Do NOT Send Marketing SMS

kliQ does not send promotional, marketing, advertising, referral, or re-engagement marketing SMS.

8.6 Message Frequency

Message frequency depends on your account activity. You may receive verification codes when you sign in, security alerts when account changes occur, and notification alerts when there is account activity for you to review.

8.7 Carrier Charges

Standard message and data rates may apply, depending on your wireless carrier. kliQ does not charge for SMS, but your carrier may.

8.8 Opting Out

You may opt out of SMS at any time:

Reply "STOP" to any SMS from kliQ
Update preferences in your account settings
Contact kteam@kliqlabs.com

Opting out of SMS does NOT terminate your kliQ account. You will continue to receive notifications via email and in-app notification.

8.9 Service Provider

SMS is delivered by Twilio, a third-party service provider. Twilio receives your phone number only after you have opted in to SMS. Twilio operates under its own privacy policy.

9. REPORTS AND OUR RESPONSE

9.1 Reporting Other Users

You may report violations through the Service.

9.2 How Reports Affect Your AI Data

Reports you submit become data about your reporting behavior.

9.3 How Reports About You Are Handled

Multiple reports on the same compatibility dimension may inform AI analysis
A single report from a single user does not, on its own, affect compatibility analysis

9.4 Serious Allegations Trigger Discretionary Review

Reports involving allegations of any of the following may trigger discretionary review regardless of report volume:

Abuse
Misuse of kliQ
Fraud
Scam
Stalking
Harassment
Doxxing
Identity theft
Threats of violence
Sexual misconduct
Hate speech
Weapons threats
Any other allegations of criminal conduct

9.5 kliQ's Response Options

kliQ may, in its sole discretion, take reasonable action. Action may include, but is not limited to:

Requesting that involved users provide documentation
Placing a user on indefinite pause pending resolution of any pending criminal charges
Removing and banning a user from the platform
Other reasonable actions in kliQ's sole discretion

kliQ may also review your account for Terms compliance and terminate for misrepresentation, abuse, illegal conduct, fraud, or other violations.

9.6 We Don't Adjudicate

kliQ does NOT adjudicate disputes, issue findings of fact, verify allegations, or characterize users.

9.7 We Don't Tell Other Users

When kliQ takes action, kliQ does NOT communicate the reason, finding, or characterization to any other user.

10. SAFETY

10.1 In-Person Interactions at Your Own Risk

kliQ did not introduce you to any other user — you brought your own counterparty.

The Service is not a crisis service. Contact a licensed professional or crisis line.

11. INTELLECTUAL PROPERTY

11.1 kliQ's IP

All software, designs, questionnaires, compatibility logic, AI prompts, output language, brand assets, and intellectual property belong to kliQ Labs, Inc.

11.2 Your Content

You retain ownership of your content, subject to the license in Section 6.6.

11.3 Trademarks

kliQ²™ and the kliQ²™ logo are trademarks of kliQ Labs, Inc. Federal trademark applications are pending.

11.4 DMCA / Copyright Complaints

Send notices to kteam@kliqlabs.com with DMCA-required information.

12. FUTURE SERVICES AND TIERS

12.1 Reservation of Right to Launch New Services

kliQ may launch additional services, tiers, or features at any time, including but not limited to:

kliQ Pro: Professional tier of third-party matchmakers operating under kliQ trademark license. Separate service with its own pricing and terms. NOT free to consumer users.
Additional code types beyond Partner, Friend, and Roommate codes
Future grant programs separate from current Beta Tester Premium Grant
Couples Deep Dive analysis for couples

12.2 Separate Terms for Future Services

Any new service may be subject to separate terms. Nothing in these Terms constitutes consent to any future service.

12.3 No Pre-Granted Consent

Your use of the current Service does not constitute consent to use any future service.

13. PRIVACY

Your use is governed by our Privacy Policy at https://kliq2.com/privacy.

14. TERMINATION

14.1 By You

Terminate any time through account settings.

14.2 By Us

We may suspend or terminate access at any time for any reason.

14.3 Effect of Termination

Service access ends
Data subject to retention/deletion policies (see Privacy Policy)
Surviving sections will survive

14.4 Surviving Provisions

Sections 6, 9, 11, 15, 16, 17, 19, and any section that by its nature should survive.

15. DISCLAIMERS

15.1 Service Provided "AS IS"

The Service is provided "AS IS" and "AS AVAILABLE."

15.2 No Guarantee of Accuracy

15.3 No Guarantee of Relationship Outcomes

kliQ does not promise, predict, or guarantee any romantic, social, or relationship outcome.

15.4 Not Professional Advice

Nothing in the Service constitutes professional advice.

kliQ is not therapy or counseling.
kliQ is not legal advice. Do not skip a prenuptial agreement, cohabitation contract, or any other legal protection based on Service output.
kliQ is not financial advice.

15.5 No Verification of Users

We do not verify identity, background, claims, or representations.

15.6 Tool, Not Matching Service

kliQ² is a tool, not a service that introduces users.

15.7 No Anti-Ghosting Guarantee

We do not promise, predict, or guarantee that you will not be ghosted, that any specific user will respond, or that any specific outcome will occur.

16. LIMITATION OF LIABILITY

16.1 Maximum Permitted Disclaimer

To the maximum extent permitted by law, kliQ Labs, Inc., its officers, directors, employees, contractors, advisors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

16.2 Total Liability Cap

In no event shall kliQ's total liability exceed the greater of:

The amount you have paid to kliQ in the twelve (12) months preceding the claim, OR
One hundred U.S. dollars ($100.00).

16.3 Jurisdictional Limits

Some jurisdictions do not allow the exclusion or limitation of certain damages.

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless kliQ Labs, Inc., its officers, directors, employees, contractors, advisors, and affiliates from claims arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any third party's rights
Your interaction with any other person whose compatibility you assessed
Any content you submit
Any reports you submit
Any misrepresentations you make

18. CHANGES TO THESE TERMS

For material changes:

Continued use after a change constitutes acceptance.

19. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

IMPORTANT: This Section 19 contains an arbitration provision and a class action waiver. By agreeing to these Terms, you and kliQ each waive your right to a jury trial and to participate in a class action. Please read this Section carefully.

19.1 Informal Resolution First

Before initiating arbitration, you and kliQ agree to attempt to resolve any dispute informally for at least sixty (60) days. Notices to kliQ: kteam@kliqlabs.com.

19.2 Binding Arbitration

If informal resolution fails, binding individual arbitration through JAMS under its consumer arbitration rules. Conducted in Marin County, California, or via remote/virtual proceedings.

19.3 Scope of Arbitration

All claims except injunctive relief in court for IP infringement, unauthorized access, or confidentiality violations.

19.4 Class Action Waiver

YOU AND kliQ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE-PLAINTIFF, OR SIMILAR PROCEEDING ("Class Action"). YOU AND kliQ EXPRESSLY WAIVE ANY ABILITY TO MAINTAIN ANY CLASS ACTION IN ANY FORUM. THE ARBITRATOR SHALL NOT HAVE AUTHORITY TO COMBINE OR AGGREGATE SIMILAR CLAIMS OR CONDUCT ANY CLASS ACTION NOR MAKE AN AWARD TO ANY PERSON OR ENTITY NOT A PARTY TO THE ARBITRATION.

19.5 Mass Arbitration Coordination

If twenty-five (25) or more substantially similar claims are filed against kliQ for arbitration within any thirty (30) day period, kliQ may, at its option, require that arbitration proceed in coordinated bellwether proceedings rather than individually:

Coordinated proceedings: No more than ten (10) bellwether claims proceed to arbitration first. Remaining claims stayed pending bellwether arbitration outcomes.
Filing fee allocation: kliQ pays only filing fees and arbitrator fees for bellwether proceedings during bellwether phase. Filing fees for stayed claims not required until they actually proceed to arbitration.
Settlement framework: Following bellwether resolution, parties meet and confer in good faith to attempt settlement of remaining claims before proceeding to individual arbitrations.

19.6 30-Day Right to Opt Out

You may opt out within 30 days of first accepting these Terms by written notice to kteam@kliqlabs.com.

19.7 Governing Law and Venue

California law governs. Disputes not subject to arbitration shall be brought exclusively in state or federal courts located in Marin County, California.

19.8 Severability of Arbitration Provisions

If any portion of this Section 19 is found unenforceable, the remainder shall remain in effect EXCEPT that the class action waiver in Section 19.4 is non-severable.

20. GENERAL PROVISIONS

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced.

20.2 Severability

If any provision is unenforceable, the remainder remains in force (except as in 19.8).

20.3 No Waiver

20.4 No Assignment by You

20.5 Assignment by kliQ

kliQ may assign to any successor.

20.6 Notices

20.7 Force Majeure

20.8 Relationship of the Parties

No employment, partnership, joint venture, or agency relationship.

20.9 California Consumer Notice (Civil Code § 1789.3)

kliQ²™ and the kliQ²™ logo are trademarks of kliQ Labs, Inc. Federal trademark applications are pending. The fictitious business name "kliQ²" is registered with Marin County, California.

22. ACKNOWLEDGMENT

By using the Service, you acknowledge that:

You have read these Terms in full, including Section 19 (Arbitration; Class Action Waiver), Section 8 (SMS Communications), and the Privacy Policy
You understand them, including binding arbitration and class action waiver (subject to your 30-day opt-out right in Section 19.6)
You agree to be bound by them
You are at least 18 years old
You have the legal capacity
You are accessing from the United States
If you choose to opt in to SMS communications, you understand and consent to the SMS terms in Section 8
These Terms become effective on the date of your acceptance

If you do not agree, do not use the Service.
